These General Terms dated 03/21/2016 describe the terms and conditions applicable to the service offered by the site https://zeste.coop

1.2. definitions

"Campaign": A Campaign means the period and the characteristics of a fundraiser on the site.

"Commission" The commission is the amount taken from the collection performed by the site. This commission also includes VAT and bank charges donated to Lemonway society.

"Counterparty": A counterparty is a non-financial return provided by the project sponsor to the contributor in exchange for his contribution

"Contributor" means a member of the site have contributed financially to a project posted.

"Intellectual Property Rights"

"Campaign Period" means the period during which the project is seeking funding from the site.

"Online activation fees" means the fees charged to the project promoter (and paid at the end of the campaign). These fees are set based on the initial collection target.

ARTICLE 2: access condition and registration of members

2.1 Registration on the platform

Anyone age and capacity, physical, resident in France or abroad can register freely on the site and become a member of this site. To do this, the user must complete the required fields as requested in the registration form.

The user undertakes, upon registration, to provide accurate and truthful information.

Legal persons may only register in order to submit a project. They do not have the option to contribute financially to a project.

Once registered, users have access to a personal space, called "My Account" they can freely administer (modification of personal data, adding photos ...). Each user has access to their profile via a username (email address) and a password that determines itself at the time of registration.

3.1 Services for Project leaders

The site offers an intermediation service and towards exchange between project sponsors research grants and potential contributors:

3.1.2 Collection and release of funds

Nef makes available to the project developer paying by credit card. This service can collect and store financial contributions pending the end of the campaign, and achieve control (including anti-money laundering) of all contributors. Once the campaign to an end, teams of Nef realize a transfer of the amount collected minus commissions and bank charges to the project promoter.

3.2 Eligible projects

3.2.1 Eligibility of structures

Every corporation created or being created is eligible participatory finance service of the Nave. In some cases the project sponsor may be an individual or a professional individual. Only non-profit organizations can receive donations. Any commercial organization can only receive "financial contributions" and shall issue, necessarily, counterparties in exchange for those contributions.

3.2.2 Project Selection Criteria

3.3 Project Selection Process

The project is then instructed by the teams of the Nef who have the opportunity to reject the project if it does not meet its eligibility criteria. To carry out the investigation of the case, the teams of the Nave will be based on information provided by the project promoter and one or more telephone exchanges.

Once learned, the project is subject to the decision of a selection committee composed of members and employees of the Nave. If the answer is positive, the project will be put online.

Nef reserves the right to refuse, without cause, any project which it considers contrary to its policy.

3.4 Duties and responsibilities of the project leader

3.4.1 Obligations and responsibility towards contributors

Nef offers an intermediary service and linking of people around a participatory finance activity. Nef instructs each application in ensuring the reality of the project, the project leader of sincerity, and controlling its identity. However, Nef may in no case be held responsible for actions of Carrier Projects that remain solely responsible for the terms that bind with contributors within the collection of donations by the intermediation of the Site.

Consequently, the Project Developer commits only its liability for publication of partial, false or misleading information that induce potential contributors to error.

The Project Sponsor is invited to ensure that it will be able to provide the rewards it offers to contributors at the end of the open collection to fund their project. The project leader is solely responsible for the preparation, management and delivery of counterparties tell

In case the Project Developer could deliver to its Contributors to the promised rewards Project, it expressly agrees to repay them in full and agrees that the Nave will in no case assist in this process. 3.4.2 Obligations and Liability Operator vis-à-vis

The Project Developer is also prohibited to publish a project or content that include:

on material protected by copyright;
on trade secrets or business;
on advertisements, commercial solicitations, or strings of emails.
In case of breach of the obligations described above, the operator may cancel, without notice, the fundraising campaign on the site (see section 3.5).

3.5 Abandonment of a fundraising campaign

In case of change of orientation of the project, project cancellation during the campaign, project leader of change or significantly modify the project and its parameters, the operator may decide to suspend or cancel the campaign fundraising.

In case of death, disability, accidents at Project leader or any other event placing unable to drive his project, Nef may also decide to suspend or cancel the current collection.

More generally, if the Project Developer does not respect these terms, the Nef may decide to abandon an ongoing campaign.

For all of these scenarios, the Nave will refund all contributors of all the sums involved. The Project leader should then pay the posting costs (see Article 3.6 Charges).

3.6 Service Fees for Project Developers

This participatory finance service is paid by the project developer exclusively (no fee is applied on the contributions). The pricing of this service is divided into 3 parts:

Online activation fee

posting of costs of the project are requested to the project promoter (and paid at the end of the campaign). These fees are set based on the initial collection target. They are used to finance the work done upstream of the launch (selection and project appraisal, advice and support in the presentation of the project and the definition of the communication plan).

A fee calculated on the amount collected

Beyond the funding of the preparatory work for the launch, a companion work to the fundraiser is also realized. Moreover, it is necessary that the project leaders involved in the financing of the platform and its future developments. This is why a commission calculated on the amount collected is also levied. The latter differs depending on the amount of the collection in order not to penalize raising important funds.

3.7 Issuing tax receipts

It is for each Project Developer to verify its eligibility to receive tax deductions or all of the contributions made by the intermediation of the Site, in accordance with the French law. Some projects will be as an association authorized to issue tax receipts. If the association can issue a tax receipt, the project will be set as such on the site when it went online and contributors will receive at the end of the campaign, a pre-filled tax receipt in the name of the issuing association the receipt. If the campaign is supported by a recognized association of public interest and having possibility to propose a tax deduction, each contributor will receive a tax certificate along with confirmation of payment. Any claim relating to the production of said tax receipts and the information contained therein should be addressed directly by the contributor Project leader.

ARTICLE 4: Terms and conditions apply to contributors

4.1 Services offered to contributors

The site offers an intermediation service and towards exchange between project sponsors research grants and potential contributors. Contributors, registered on the platform have all the information needed to understand the projects posted by the initiators of the project; To do this, they access the Presentation of the projects on which they can:

Take note of the general presentation of the project (Information section)
Learn about the news published by the Project leader (news section)
Take notice and issue public comments (comments section)
Learn about the compensatory measures proposed by the project leader
Beyond the information outlet, contributors are able to financially support the project of their choice directly online ( "contribute" button).

The contributions made by contributors on the site can not be interpreted as constituting a contractual relationship between the Nave and contributors. Indeed, it is recalled that the Nef offers through this site a matchmaking service and intermediary in the promotion of projects and provision of tools for achieving financial transaction. Consequently the site can not be held liable for Project Developer failure to perform.

4.2 collecting contributions

4.2.1 Characteristics of contributions

By clicking on the button "contribute", contributors are redirected to a website page that allows them to determine the amount of the financial contribution they wish to bring to the project and choose to receive consideration (if the holder of project decided to offer).

Terms of contributions

Any individual may contribute financially to the project. Contributions are prohibited to corporations. To contribute, each contributor must first be registered on the platform.

Payment

counterparties

If the project developer wishes, he may offer non-financial counterparties in exchange for contributions. These counterparties are managed by the project leader at the end of the campaign (support for the preparation and sending of counterparties to project leaders)

If the campaign is supported by a recognized association of general interest or public utility and who may propose a tax deduction, each contributor will receive a tax certificate along with its payment confirmation

Anti-money laundering

For significant contributions, Lemon Way carries an anti-laundering controls directly from the contributors.

4.2.2 Regulations contributions:

The payment of contributions is achieved through the Lemon Way solution, a payment solution supported by the company Lemonway SAS, authorized payment institution by the Authority prudential and Resolution (ACPR). The Terms of Service of this service are available here.

4.2.3 Management of Contributions

The contribution by credit card is immediately debited from the account of the contributor and stored in an electronic purse in the Application LemonWay pending the end of the fundraising campaign for the project.

After the campaign, the amounts collected on electronic purses contributors are dumped on the electronic wallet of the project manager and transferred by the Nave to the bank account of the project leader who can make use of to achieve its project.

The proposed campaigns on this site is as "Keep it all" (Keep All). This means that any money collected is definitively allocated to the project.

As a result, past the legal deadline of 14 calendar day (corresponding to the statutory withdrawal period) no refund of contribution can not be done during and after the fundraising campaign.

However, in accordance with Article 4.4 of these general conditions, the Nef may decide to abandon a campaign in progress fundraising. In this case, all contributors will be fully reimbursed amounts

4.2.3 Communication of personal data

Contributors expressly agree that the Nave notify the Project Developer information about his identity and address, in particular to enable the Project Developer to send the promised rewards him.

4.3 Duties and Responsibilities

4.3.1 Obligations and liability of contributors

Contributors are aware of risks associated with any project and explicitly accept the degree of uncertainty related to the realization of projects.

The contributor agrees not to publish content contrary to the purpose of the Site and / or the provisions of these Terms and / or unlawful, including:

malicious, inappropriate, disrespectful;
defamatory, abusive;
infringing, secret or confidential, misleading or erroneous (including personal information);
xenophobic, racist, hateful;

indecent, obscene, pornographic;

Nef reserves the right to immediately remove, without notice, any project or content that, in its sole discretion, violates the terms hereof.

4.5 Issuing tax receipts

Some projects will be as an association authorized to issue tax receipts.

Article 5: Limitation of Liability

Due to its limited role in linking and mediate between the Project Sponsor and contributors, they expressly agree that Nef can not in any way be responsible even partially, the projects presented and led by Carrier Project, both including: the presentation of the project, the progress of the Project, Project delays or cancellations by the Project Developer, its realization or not, once the Funded Project, the award or not, possibly Counterparties proposed by the Project Developer, etc.

Nef is not responsible for the actions or omissions of Project Holders who remain solely responsible for all of the terms and conditions of the Project vis-à-vis Contributors.

Contributors must therefore address all their questions or complaints Project Bearer only.

Project Bearer warrants and undertakes to indemnify the operator against all damage suffered by it or done that would be charged to him in connection with a project, and ensures limitless against any action for damages whatsoever that would be brought against the operator by a Member, a Visitor or any third party due to the presentation of the progress or completion of a project on the Website.

Article 6: Intellectual Property

Unless prior express permission of the Financial Corporation of the Nave, reproduction or copying of content on this site, namely texts, logos, photographs, including downloadable documents, for purposes other than private use, is prohibited on any support whatsoever.

Furthermore, all trademarks, logos and names mentioned on this site belong to their respective owners and are protected by the law of intellectual property. Therefore, any total or partial reproduction made without prior agreement of the owners is prohibited.
